1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of ChatGlo (the "App" or "Service"), a private team communication application provided by JayApp Solutions ("Company", "we", "us", "our"). By logging in, accessing, or using the App, you ("you", "Member", "User") agree to be bound by these Terms. If you do not agree, you must not use the App.
2. Eligibility
The App is not open to the public. Access is by invitation only, granted by a team administrator or the platform administrator to employees, contractors, and authorized personnel of JayApp Solutions and its designated teams. You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the App. By using the App you represent that you meet this requirement and that you have been authorized by JayApp Solutions to do so.
3. Account Registration and Security
Your account is created on your behalf by an administrator, who assigns your phone number as your login identifier and an initial password. You will be required to set a new password on first login. You are solely responsible for:
- Maintaining the confidentiality of your password
- All activities that occur under your account
- Promptly notifying your team administrator of any unauthorized use
We are not liable for any loss or damage arising from your failure to safeguard your login credentials.
4. User Content and License
"Content" means any text, photos, voice recordings, files, links, or other material you submit, post, or transmit through the App. You retain all ownership rights you hold in your Content. By submitting Content, you grant JayApp Solutions a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that Content solely for the purpose of operating and providing the App to you and other authorized Members.
You represent that you have all necessary rights to the Content you submit and that it does not infringe the rights of any third party. Content is visible to other Members of the room it is posted in, and to team and platform administrators, who may remove or moderate Content at their discretion.
5. Acceptable Use
You agree that you will not use the App to:
- Post content that is unlawful, threatening, abusive, harassing, defamatory, or discriminatory
- Infringe any patent, trademark, trade secret, copyright, or other intellectual property or proprietary right
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Attempt to gain unauthorized access to any account, system, or network connected to the App
- Upload viruses, malware, or any code of a destructive nature
- Use the App for any purpose unrelated to your authorized work with JayApp Solutions
- Interfere with, disrupt, or place undue burden on the App's infrastructure
Violation of this section may result in immediate suspension or termination of your access, at the discretion of your team or platform administrator.
6. Intellectual Property
The App, including its design, software, features, and all associated trademarks and branding (excluding User Content), is the property of [COMPANY NAME] or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use JayApp Solutions's trademarks, logos, or branding without prior written consent.
7. Push Notifications
If you enable push notifications, the App will send alerts to your device for new messages and updates. You can disable push notifications at any time through your device settings or the App's notification controls. Standard message and data rates from your mobile carrier may apply.
8. Third-Party Links
Team administrators may share links to third-party documents or websites (for example, in the Team Documents section). We do not control and are not responsible for the content, accuracy, or practices of any third-party sites linked from the App. Accessing third-party links is at your own risk.
9. Suspension and Termination
We, or your team or platform administrator, may suspend or deactivate your access to the App at any time, with or without cause or notice, including (without limitation) upon termination of your employment or engagement with JayApp Solutions, or for violation of these Terms. Sections of these Terms that by their nature should survive termination — including Sections 6, 10, 11, 12, and 13 — will survive.
10. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JayApp Solutions AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, CONTENT, GOODWILL, OR PROFITS, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS LIMITS ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.
12. Indemnification
You agree to indemnify and hold harmless JayApp Solutions and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of the App.
13. Governing Law and Disputes
These Terms are governed by the laws of Jamaica, without regard to conflict of law principles. Given that Members are located in multiple countries (including Nigeria, Jamaica, and the United Kingdom), nothing in this section is intended to override any mandatory consumer or employment protections, or data protection rights, available to you under the law of the country where you are located. Any dispute arising from these Terms should first be raised with JayApp Solutions directly for informal resolution before pursuing any other remedy.
14. Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will require you to re-accept the updated Terms before continuing to use the App. Continued use after acceptance constitutes agreement to the revised Terms.
15. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and JayApp Solutions regarding use of the App. Our failure to enforce any right or provision will not be considered a waiver of that right or provision.
